1. Agreement and provider
These Terms and Conditions (the “Terms”) are a binding agreement between you and Mantovani America LLC, doing business as Distrid (“Distrid”, “we”, “us”), 10450 NW 33rd St Ste 305, Doral, FL 33172, United States. By creating an account, clicking to accept, ordering or using a Service, you confirm that you have read and accepted these Terms. You must be at least 18 years old and legally able to contract. If you act for a company, label, artist or other person, you warrant that you have authority to bind them.
2. Services and third-party platforms
Distrid provides access to music distribution and its Distribution Dashboard, LABEL plans, VEVO channel and video services, Smart Link and Luxury Domain services, support and related tools (the “Services”). Stores, digital service providers (“DSPs”), YouTube, VEVO, payment providers and other partners are independent third parties. Their rules, availability, territories and technical requirements also apply and may change. Distrid may add, change, suspend or discontinue a Service when reasonably required.
3. Account and verification
You must provide complete, current and truthful information, keep credentials confidential and promptly report unauthorized access. You are responsible for all activity under your account and for collaborators you authorize. Distrid may require identity, tax, banking, rights-ownership or business documents at any time and may delay Services or payouts until verification is satisfactorily completed. One person or organization may not use multiple accounts to evade restrictions.
4. Your content, ownership and license
You retain ownership of content and rights you lawfully control. You grant Distrid a non-exclusive, worldwide, transferable and sublicensable license, for the duration needed to provide and wind down the Services, to host, reproduce, encode, adapt for technical delivery, distribute, communicate, make available, monetize and promote your recordings, compositions, videos, artwork, names, likenesses, logos and metadata. This license permits delivery to and administration by DSPs, VEVO, YouTube and service partners. Takedowns and expiration of rights may require processing time by third parties.
5. Your warranties
You warrant that you own or have cleared every necessary master, publishing, performer, image, trademark, privacy and publicity right; that samples, covers, features and third-party materials are properly licensed; and that your content and metadata are accurate, lawful and not misleading, defamatory, hateful, obscene, infringing or harmful. You may not impersonate an artist, submit bootlegs or unauthorized remixes, misuse another person’s identity or voice, or upload content designed primarily to manipulate search, recommendation or monetization systems. You are responsible for splits, collaborators, licensors and all payments owed to them.
6. Music distribution
Delivery does not guarantee acceptance, placement, release date, availability in every territory, editorial support, streams or revenue. A DSP may reject, edit, hide, demonetize or remove content under its own rules. Release dates and takedowns are subject to partner processing times. Distrid may correct technical metadata, reject a submission or request further evidence. Statements and earnings depend on reports and funds received from partners and may later be corrected, reversed or recouped.
7. LABEL plans
LABEL plans provide the benefits, limits and credits shown at checkout and in the Dashboard. Unless stated otherwise, annual plans renew automatically through Stripe at the then-current price until cancellation. Renewal terms and cancellation controls are displayed before purchase and in the account area. Cancellation stops future renewal but does not retroactively refund the current period. Failed payments may place the plan in a grace or past-due state; after the displayed renewal window, benefits and unused credits may be suspended or expire. Plan credits have no cash value, are non-transferable and are subject to fair use and the active plan.
If a LABEL plan expires without renewal, the account will be permanently downgraded to CONSUMER. Once downgraded for non-renewal, that account will no longer be eligible to activate or reactivate any LABEL plan in the future.
8. VEVO services
VEVO channel creation, video delivery and image updates remain subject to VEVO and YouTube approval, eligibility and processing. Payment or a LABEL credit does not guarantee approval, a particular channel name, verification, publication date, custom URL or uninterrupted availability. You authorize Distrid to administer the requested channel and content. Fees cover the requested work once processing begins; external platform delays or rejection do not by themselves create a right to a refund.
9. Smart Link and Luxury Domain services
Smart Links, Pre-Saves, custom slugs and Luxury Domains are managed services, not a sale of domain-name ownership. Activation times, including any 48-hour estimate, are indicative. Names and slugs must be available, lawful and must not infringe rights, mislead users, contain abusive language or impersonate Distrid. Distrid may reserve or reject names, redirect or disable links for security, legal, partner or operational reasons. A Luxury Domain is limited as shown in the Dashboard and remains part of Distrid’s infrastructure. Included credits, if any, follow the active LABEL plan.
10. Prices, payments, taxes and refunds
Orders may be paid only through Stripe or PayPal, when offered at checkout. You authorize the selected provider to charge the displayed amount, recurring amounts where applicable, taxes and disclosed fees. You are responsible for accurate billing and tax data. Except where mandatory law requires otherwise or Distrid expressly agrees in writing, all purchases are final and Service fees are non-refundable once an order is submitted or performance begins, including setup, channel, upload, Smart Link, custom slug and Luxury Domain work. Promotional credits are not redeemable for cash. An abusive or unfounded chargeback is a material breach and its costs may be offset against amounts owed to you.
11. Royalties and payouts
Royalties are calculated from partner statements actually received by Distrid, after partner deductions, reversals, taxes, refunds, chargebacks, agreed commissions and other disclosed adjustments. Reports may be delayed or corrected. Payouts are made exclusively through PayPal to the verified address in your account and may be subject to thresholds, fees and verification shown in the Dashboard. You are responsible for PayPal availability, correct payment details and your taxes. Distrid may hold, reserve, offset or recover disputed, erroneous, fraudulent or partner-withheld amounts.
12. Anti-Fraud Policy: prohibited conduct
Fraud and artificial activity are strictly prohibited. This includes bots, scripts, click or stream farms, automated or coordinated plays, deceptive advertising or incentives intended to manipulate engagement; fake users, identities, artists or documents; stolen payment methods; copyright or trademark infringement; unauthorized recordings, duplicate or spam-like releases; metadata or search manipulation; misleading artist associations; monetization abuse on user-generated-content services; and any attempt to evade a DSP, payment provider or Distrid control. You are responsible for agencies, promoters and third parties acting for you. Do not use services that guarantee streams, playlist placement or artificial engagement.
13. Anti-Fraud Policy: checks and consequences
Distrid may use automated and manual checks, partner reports, usage and sales analysis, rights databases and identity verification, and may share relevant information with DSPs, VEVO, YouTube, payment providers, rights holders, anti-fraud organizations and competent authorities. We may request evidence and apply warnings or strikes, but no strike sequence is required. At our sole discretion, and immediately in serious or suspected cases, we may reject or remove content, freeze an account, suspend Services and payouts, place earnings in reserve or escrow for the period reasonably required by partner rules or law, offset penalties and losses, recover previously paid fraudulent revenue, permanently terminate the account, preserve evidence and report the matter. Revenue identified or withheld as fraudulent by a partner is not payable unless and until finally released to Distrid.
14. Suspension, refusal and termination
To the fullest extent permitted by law, Distrid may refuse an order or suspend, restrict, investigate or terminate an account or Service, with or without prior notice, at its discretion where it identifies or reasonably suspects fraud, rights disputes, inaccurate information, nonpayment, abusive conduct, security or reputational risk, partner-rule violations, legal exposure or misuse of the platform. Distrid is not required to continue a commercial relationship. You may stop using the Services and request takedown, subject to outstanding obligations and partner processing. Termination does not erase accrued payment, indemnity, fraud, rights, confidentiality or dispute obligations.
15. Service standard and third-party limitations
Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Distrid disclaims implied warranties of merchantability, fitness, non-infringement and uninterrupted or error-free operation. We do not control DSPs, VEVO, YouTube, PayPal, Stripe, networks or other third parties and are not responsible for their downtime, policy decisions, removals, reporting delays or failures. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
16. Limitation of liability
To the fullest extent permitted by law, Distrid and its officers, personnel and contractors will not be liable for indirect, incidental, special, exemplary or consequential loss, lost profits, data, opportunity, reputation or anticipated royalties. Distrid’s aggregate liability arising from a Service will not exceed the fees you paid Distrid for that Service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be limited, including for fraud or willful misconduct as applicable.
17. Indemnity
You will defend, indemnify and hold harmless Distrid, Mantovani America LLC and their officers, personnel, partners and contractors from claims, losses, penalties, takedown costs, chargebacks, legal fees and liabilities arising from your content, your breach of these Terms, infringement of rights, fraudulent activity, taxes, collaborators or use of the Services. Distrid may control the defense of a claim at your expense and you will reasonably cooperate.
18. Privacy, communications and changes
The Privacy Policy and Cookie Policy form part of these Terms. You consent to transactional notices and legally valid electronic records relating to accounts, orders, renewals, security and Services. Distrid may update these Terms for legal, partner, security or service changes. Material changes will be posted with a new effective date and, when required, notified in advance. Continued use after the effective date means acceptance; if you disagree, stop using the Services and cancel future renewals before the change takes effect.
19. Florida law and general provisions
These Terms are governed by the laws of the State of Florida and applicable federal law of the United States, without regard to conflict-of-law rules. Except where mandatory consumer law provides otherwise, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction. If a provision is unenforceable, it will be narrowed or severed without affecting the remainder. Failure to enforce is not a waiver. Distrid may assign these Terms as part of a reorganization, financing or transfer of business; you may not assign them without written consent. These Terms, the order details and incorporated policies are the entire agreement for the Services. Translations are provided for convenience; if versions conflict, the English version controls to the extent permitted by law.
